1. Introduction
Welcome to Vybe Studio. These Terms of Service govern your access to and use of Vybe Studio's websites, apps, tools, music generation systems, audio generation features, lyrics tools, instrumental tools, libraries, downloads, sharing features, subscription plans, and related services.
By creating an account, using the Service, generating music, downloading content, publishing content, or purchasing a plan, you agree to these Terms. If you do not agree, you may not use the Service.
2. Definitions
"Vybe Studio," "we," "us," and "our" means Vybe Studio and its operators.
"Service" means the Vybe Studio platform, including the website, studio interface, library, explore features, music generation tools, lyrics tools, instrumental generation tools, account tools, downloads, APIs, and related software.
"Input" means prompts, text, lyrics, titles, descriptions, tags, audio files, samples, vocals, melodies, recordings, files, images, metadata, and other materials you submit to the Service.
"Output" means lyrics, songs, instrumentals, stems, melodies, arrangements, audio files, titles, descriptions, cover art prompts, or other material generated by or through the Service.
"Generated Music" means songs, instrumentals, lyrics, stems, arrangements, melodies, and audio outputs generated through Vybe Studio.
"Free Plan" means unpaid access to the Service.
"Paid Plan" means any subscription, credit pack, one-time purchase, enterprise plan, or other paid access tier that expressly includes commercial-use rights.
"Commercial Use" means using Generated Music in connection with revenue, monetization, advertising, promotion, sale, streaming distribution, paid media, client work, business use, brand use, sync use, public performance, or any other commercial purpose.
"Non-Commercial Use" means personal, educational, internal, private, portfolio, experimental, or non-revenue use.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with permission from a parent or legal guardian.
4. Accounts
You are responsible for your account, login credentials, account activity, and all use of the Service through your account. You must provide accurate information and keep your account secure. You may not sell, rent, transfer, or share your account except as permitted in writing by Vybe Studio.
5. Plans and Access Levels
Vybe Studio may offer Free Plans, Paid Plans, trials, beta access, credit packs, enterprise plans, or promotional access. Features, generation limits, download quality, storage, library access, sharing rights, commercial-use rights, and support levels may vary by plan.
6. Ownership Structure for Generated Music
Vybe Studio is designed under a shared-rights licensing model. Unless a separate written agreement states otherwise, all songs, instrumentals, stems, lyrics, arrangements, and other Generated Music created through the Service are owned, controlled, or licensed by Vybe Studio to the maximum extent permitted by law. Users do not receive ownership of Generated Music by default.

7. Important AI Copyright Limitation
AI-generated material may not be copyrightable in some jurisdictions unless there is sufficient human authorship, creative selection, arrangement, editing, writing, production, performance, or other original human contribution. Vybe Studio does not guarantee that any Generated Music is copyrightable, registrable, unique, non-infringing, accepted by distributors, eligible for monetization, eligible for Content ID, eligible for copyright registration, or free from similar outputs generated for other users.
8. User Inputs
You keep whatever rights you already own in your Input. By submitting Input to Vybe Studio, you grant Vybe Studio a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, process, modify, transcode, analyze, generate from, display, perform, distribute, and otherwise use your Input as necessary to operate, improve, secure, moderate, and provide the Service.
9. Uploaded Audio and Samples
If you upload audio, vocals, beats, stems, instrumentals, reference tracks, samples, or melodies, you are solely responsible for making sure you have the legal right to upload and use them. Vybe Studio may remove, block, restrict, or refuse to process uploaded materials that appear to infringe rights.
10. Third-Party Models and Provider Restrictions
Vybe Studio may use third-party AI models, APIs, open-source models, local models, cloud processing providers, payment processors, hosting services, analytics tools, and content moderation tools. Your rights to use Generated Music are subject to these Terms, the Music Rights Policy, applicable law, and any restrictions imposed by third-party providers.

14. Revocation and Suspension
Vybe Studio may suspend, revoke, limit, or terminate your license to Generated Music if you violate these Terms, fail to pay, initiate a fraudulent chargeback, upload unauthorized material, infringe third-party rights, bypass safety systems, or use the Service unlawfully.

16. Platform Ownership
Vybe Studio owns or licenses the Service, software, code, interfaces, design, branding, trademarks, trade dress, workflows, prompts, templates, model integrations, databases, and all related intellectual property.

21. Disclaimers
The Service is provided "as is" and "as available." Vybe Studio disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, uniqueness, copyrightability, distributor acceptance, monetization eligibility, or commercial success.
22. Limitation of Liability
To the maximum extent permitted by law, Vybe Studio will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages. Vybe Studio's total liability for any claim will not exceed the amount you paid to Vybe Studio in the three months before the event giving rise to the claim, or $100 if you paid nothing.
23. Indemnification
You agree to defend, indemnify, and hold harmless Vybe Studio, its owners, officers, contractors, employees, vendors, affiliates, service providers, and partners from claims, losses, damages, liabilities, costs, and expenses arising from your Input, your use of Generated Music, your violation of these Terms, your infringement of third-party rights, your misuse of the Service, or your violation of law.
24. Termination
You may stop using the Service at any time. Vybe Studio may suspend or terminate your account if you violate these Terms, create risk, expose the platform to legal liability, fail to pay, abuse the Service, or engage in conduct harmful to Vybe Studio or others.
25. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective means you accept the updated Terms.
26. Governing Law
These Terms are governed by the laws of the State of California. Subject to any arbitration provision, courts located in Los Angeles County, California will have exclusive jurisdiction over disputes.
27. Arbitration & Class Action Waiver
At Vybe Studio's option, disputes may be resolved through binding individual arbitration. You and Vybe Studio waive the right to participate in class actions, collective actions, and representative actions to the maximum extent permitted by law.
